Terms & Conditions

 

These terms form a legally binding agreement between Users and Partnr and/or its subsidiaries and affiliates in conjunction with the Privacy Policy on the Website. By using the Website, the User agrees to comply with these Terms as they apply from time to time. 
Partnr may change these Terms at its discretion and without notice and Partnr suggests that the User visit this page regularly to keep up to date with any changes.
The information and material on the Website is intended to provide a general guide only. While Partnr uses reasonable care in compiling and presenting the information and material on this website, Partnr makes no representation or warranty whatsoever regarding the accuracy, currency, completeness, adequacy, suitability or operation of this website, any services Partnr may provide through it or the information or material it contains.
Partnr is NOT a jobsite where Recruiters directly receive the applications submitted by the Talents. Partnr, as a search firm, will review the various Talent Profile Pages, and make considered recommendations to Recruiters.
 
Definitions
 
Applicable Laws shall mean any statute, law, enactment, regulation, ordinance, policy, treaty, rule, judgment, notification, directive, guideline, requirement, rule of common law, order, decree, bye-law, permits, licenses, approvals, consents, authorizations, government approvals, or any restriction or condition, or any similar form of decision of, or determination, application or execution by, or interpretation or pronouncement having the force of law of, any government authority having jurisdiction over the matter in question;


Fees shall mean the fees to be paid by the Recruiter to Partnr for availing the services of scouting, curating and validating Talent as further detailed under a relevant Service Order;
 

Intellectual Property shall mean and include but not be limited to pictures, branding, text, graphics, designs, compilations brand logos, audio, video, interfaces, trade marks, trade names, logos, information and material available, computer code, products, software (including any downloadable software), services, trade dress, patent, copyrights, trademark laws, international conventions, goodwill, databases, trade secrets, know-how, and all other relevant intellectual property and proprietary rights, under Applicable Laws;
 

Partnr shall mean Partnr Subspaces Private Limited.
 

Service Order shall mean a service order entered into between a Recruiter and Partnr for the employment of Talent, whether or not on a full-time basis, part-time basis or for a specific project. 
 

Talent shall mean an individual person looking for full-time or part-time employment, with a Recruiter. 
 

Talent Profile Page shall mean the page created by a Talent, and shall collectively any and all information submitted by a Talent.
 

Terms shall mean these Terms which govern the legal relationship between Users and Partnr.
 

Recruiter shall mean an organization, whether or not incorporated in India, that is looking to hire Talent on a full-time or part-time basis and wishes to use the Services offered by Partnr.  
Recruiter Profile Page shall mean the page created by a Recruiter, and shall collectively any and all information submitted by a Recruiter.

 

Users shall mean Talents and Recruiters, collectively.
 

Website shall mean Partnr.Network

 


 
Accuracy of Information while Creating a Talent Profile Page


Every Talent who creates a Talent Profile Page, must ensure that the details provided by the Talent at that or at any other time are accurate, up to date and complete.


The Talent must immediately update the Talent Profile Page in case of any material changes to information on the Talent Profile Page, so that Partnr can communicate with and provide accurate up to date information to Recruiters effectively.
While creating a Talent Profile Page,  the Talent will be asked to create a password and a login. In order to prevent fraud, the Talent must keep this password confidential and must not disclose it or share it with anyone. If the Talent knows or suspects that someone else knows his/her password, the Talent should notify Partnr immediately. Partnr accepts no liability for any unauthorized use of the Talent Account.


By using the Website, the User is solely responsible for maintaining up-to-date, correct, accurate and complete information on the User’s Talent Profile Page or Recruiter Profile Page, as the case may be and uploading materials which do not breach or infringe the Intellectual Property Rights of any third party.
Any information submitted by Talents and/or Recruiters may be accessed by Partnr, unless such informations is specifically categorized as Confidential Information in writing and acknowledged by Partnr or its representative.
 


Intellectual Property


All Intellectual Property on this Website is the property of the Partnr entity.


Any unauthorized reproduction of any information on the Website is prohibited.


The User may only access, use and print the information and material on this Website for non-commercial use provided that the User keeps intact all copyright and proprietary notices. The User must not otherwise reproduce, adapt, store, transmit, print, display, commercialize, publish or create derivative works from any part of the content, format or design of this Website.


If the User seeks to reproduce or otherwise use the content in any way it is the Users responsibility to obtain approval from Partnr for such use where necessary.


The Users hereby grant Partnr a perpetual, irrevocable, non-exclusive license under all rights necessary to incorporate and use any User feedback for any purpose. 
 
If the User posts content on the Website, the User represents and warrants that the User has the right to post that content and to grant the above rights to Partnr. This license that the User grants Partnr is for the primary  purpose of operating, promoting, marketing improving and developing Partnr products and services. This license continues even if the Users account (i.e. the Talent Profile Page or the Recruiter Profile Page) is terminated for any reason whatsoever. 
 
Partnr has the right, but not the obligation, to remove or block content from the Website that it determines in its discretion to be in violation of these Terms, to be unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable, that violates any party's intellectual property or that is detrimental to the quality or intended spirit of the Website. 
 


Acceptable Use Policy


Talents and Recruiters may only use the services provided through this website for its stated purpose. The User must not use the services provided by the Website to:


(a) send, upload, display or disseminate or otherwise make available any unlawful, discriminatory, harassing, libellous, defamatory, abusive, threatening, harmful, offensive, obscene, tortious or otherwise objectionable material or otherwise breach any laws;


(b) display, upload or transmit material that encourages conduct that may constitute a criminal offense, result in civil liability or otherwise may breach any applicable laws, regulations or code;
 

(c) interfere with any other person's privacy or use or enjoyment of this Website;
 

(d) fraudulently or otherwise misrepresent himself or itself to be another person or a representative of another entity including, but not limited to, a Partnr representative or a representative of any Recruiter, or fraudulently or otherwise misrepresent that the User have an affiliation with a person, entity or group; 
 

(e) mislead or deceive Partnr, its representatives and any third parties who may rely on the information provided by the User, by providing inaccurate or false information, which includes omissions of information;
 

(f) disguise the origin of any material transmitted through the services provided by the website (whether by forging message/packet headers or otherwise manipulating normal identification information);
 

(g) send, upload or otherwise make available material which infringes any Intellectual Property Rights of any third party;
 

(h) send, upload, display or disseminate or otherwise make available material containing or associated with spam, junk mail, advertising for pyramid schemes, chain letters, virus warnings (without first confirming the authenticity of the warning), or any other form of unauthorised advertising or promotional material;
 

(i) send, upload or otherwise make available material containing viruses, trojans or any other material designed to impair, destroy or interrupt the performance of any hardware or software;
 

(j) obtain unauthorized access to or interfere with the performance of the servers of this Website which provide the services or any servers owned or operated by Partnr on any associated networks or otherwise fail to comply with any policies or procedures relating to the use of those servers; 
 

(k) collect, whether aggregated or otherwise, data about other Users;
 

(l) Abuse, harassment, threats, flaming or intimidation of any of the Users, whether they are Talent(s) or Recruiters;
 

(m) Upload or send to other Users pornographic, threatening, embarrassing, hateful, racially or ethnically insulting, libelous, or otherwise inappropriate content;
 
(n) disclose the personal or proprietary information of another User;
 
(o) make unsolicited offers, advertisements, proposals, or sending junk mail (aka spam) to other Users; or
 
(p) engaging in or contributing to any illegal activity or activity that violates others’ rights 
 


Termination


In case a User wishes to discontinue the User can at any point delete their account on the Website and leave the Partnr community. Partnr reserves the right to unilaterally terminate a User’s account, including the Talent Profile Page or a

Recruiter Profile Page without notice or any liability for reasons of breach of the terms mentioned herein.


If Partnr has reason to believe that there is likely to be a breach of security or misuse of the Website, it may require the Talent and/or the Recruiter to change its password or  may suspend the account.
 

Partnr is under no obligation to any of the Users to provide reasons or justification for such suspensions.
 

Recruiter Covenants


Every Recruiter using the Website does hereby agree, promise, declare, confirm, covenant, undertake and represent & warrant that:


(a) they are not under any legal or other deficiency which prevents/may prevent the Recruiter from (i) entering into a valid contract under Applicable Laws; and (ii) making valid payment to Partnr;
 

(b)In the event of detecting any suspicious activity from User’s account or the Recruiter Profile Page, Partnr reserves the right to cancel all pending and future orders owing to any such incident;
 

Payment of Fees


Every Recruiter hereby agrees that upon availing of the services offered by Partnr on the Website, they will have to pay Partnr the Fee as mentioned under the specific invoice and Service Order to be executed between Partnr and the Recruiter. Typically, the Fee will be calculated as a percentage of the annual CTC that the Recruiter will pay the Talent. Such Fee shall be payable usually on the date of commencement of work by the Talent.  
 

Partnr does not have single template for a Service Order, and a Service Order will be provided to a Recruiter on a case by case basis.
 

As a policy, since Partnr operates on a model where Partnr provides the services before payment of fees, Partnr does not offer refunds or cancellation. However, in special circumstances, a Recruiter may reach out to contact@partnr.network and provide us details if the Recruiter feels that such circumstances are warranted. 

 


Pipeline Features and Services


In addition to the recruitment services offered on the Website, Partnr may in the future offer additional services to enable Talent(s) across the globe to work in a more seamless manner as well as provide other services to Recruiters to enable them to find more suitable talent as per their needs. Before Partnr makes such features available to the general public, Partnr will be testing such services with certain early adopters whom Partnr selects and whitelists. Talent Covenants


The Talent agrees, acknowledges, confirms and undertakes that all information/data provided or uploaded onto the Website by the Talent:
 

(a) shall not be false, inaccurate, misleading or incomplete; 
 

(b) shall not be fraudulent; 
 

(c) shall not infringe any third party's intellectual property, trade secret or other proprietary rights or rights of publicity or privacy; 
 

(d) shall not be defamatory, libelous, unlawfully threatening or unlawfully harassing; or
 

(e) shall not contain any viruses, Trojan horses, worms, time bombs, cancelbots, easter eggs or other computer programming routines or executable files that may damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or personal information of any person whatsoever; 
 

(f) shall not create liability for Partnr or cause Partnr to lose (in whole or in part) the services of Partnr’s ISPs or other service providers/suppliers;
 

(g) Partnr is  explicitly relying on such representations made by the Talent;
 

If the Talent contravenes the foregoing or Partnr has reasonable grounds to suspect that the Talent has contravened the foregoing, Partnr has the right to indefinitely deny or terminate Talent's access to the Website.
 

The Talent(s) are prohibited from engaging in the following activities:
 

(a) Systematically retrieve data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database, or directory without written permission from Partnr;
 

(b) Make any unauthorized use of the Website, including collecting usernames and/or email addresses of users by electronic or other means for the purpose of sending unsolicited email, or creating user accounts by automated means or under false pretenses;
 

(c) Circumvent, disable, or otherwise interfere with security- related features of the Website, including features that prevent or restrict the use or copying of any information or enforce limitations on the use of the Website and/or the information contained therein.
 

(d) Trick, defraud, or mislead Partnr, the Recruiters and other Talent(s), especially in any attempt to learn sensitive account information such as passwords;
 

(e) Make improper use of Partnr’s support services or submit false reports of abuse or misconduct;
 

(f) Engage in any automated use of the Website and it’s allied systems, such as using scripts to send comments or messages, or using any data mining, robots, or similar data gathering and extraction tools; 
 

(g) Interfere with, disrupt, or create an undue burden on the Website or the networks or services connected to the Website;
 

(h) Attempt to impersonate another User or a representative of Partnr;
 

(i) Sell or otherwise transfer the profile;
 

(j) Use any information obtained from the Website in order to harass, abuse, or harm another person;
 

(k) Use the Website as part of any effort to compete with us or otherwise use the Website for any revenue-generating endeavor or commercial enterprise;
 

(l) Decipher, decompile, disassemble, or reverse engineer any of the software comprising or in any way making up a part of the Website;
 

(m) Attempt to bypass any measures of the Website designed to prevent or restrict access to the Website, or any portion of the Website;
 

(n) Upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism;
 

(o) Except as may be the result of standard search engine or Internet browser usage, use, launch, develop, or distribute any automated system, including without limitation, any spider, robot, cheat utility, scraper, or offline reader that accesses the Website, or using or launching any unauthorized script or other software;
 

(p) Disparage, tarnish, or otherwise harm, in Partnr’s opinion, Partnr and/or the Website;
 

(q) Use the Website in a manner inconsistent with any Applicable Laws.
 

Communications
 

By using the Website, the User agrees and understands that the User is communicating with Partnr through electronic records and the User consents to receive communications via electronic records from Partnr periodically and as and when required. Partnr may communicate with the User by email or by such other mode of communication, electronic or otherwise. The User specifically agrees that Partnr shall not be responsible for unauthorized access to or alteration of its transmissions or data, any material or data sent or received or not sent or received. Further, Partnr will make best efforts to safeguard the confidentiality of the User’s personally identifiable information available with it, but transmissions made by means of the internet cannot be guaranteed or made absolutely secure. By using this Website, the User agrees that Partnr shall not be liable for disclosure of the User’s information due to errors in transmission or unauthorized acts of third parties. Without prejudice to the foregoing the User agrees that Partnr shall not be held liable or responsible for 'phishing attacks' on the User. The User may accept or decline the cookies when accessing the Website and it is the Users responsibility to manage cookies accordingly.
 

Third Party Links


The Website may contain links to other websites owned and maintained by persons or entities other than Partnr. Any of the foregoing links do not constitute an endorsement by Partnr of any such sites and are provided only for convenience. Partnr is not responsible for the content or links displayed on such sites. Partnr is also not responsible for the privacy practices of such sites which it does not own, manage or control. Partnr does not review or endorse, and makes no warranty or representation regarding information and materials posted, or services offered, on the sites to which this Website may be linked and Partnr shall not be responsible for any deficiency thereof. Any decision to view the contents of any linked site is solely the responsibility of User and is made at User’s own risk.

 


Privacy

Cyber Security


Every User must ensure that he exit/log out from the account at the end of each session on the Website.
The User must ensure that he/she shall not use/access the Website from unsecure computers, unsecure communication links, unsecure mobile phones or locations such as Internet-Cafe(s), Cyber-Cafe(s) and other commercially available internet enabled computers or computer services. 

 

Indemnification


Without prejudice to and in addition to any other remedies, reliefs or legal recourse available to Partnr herein under any Applicable Laws or otherwise, User agrees to indemnify, defend and hold Partnr harmless including but not limited to its affiliate, agents and employees from and against any and all losses, liabilities, claims, damages, demands, costs and expenses (including legal fees and disbursements in connection therewith and interest chargeable thereon) asserted against or incurred by Partnr that arise out of or related to the User’s use or misuse of the of the Website, any violation by the User of these terms and conditions, or any breach of representations, warranties and covenants made by the User herein.
 

Limitation of Liability


Partnr shall not be liable for any damages of any kind whatsoever including but not limited to direct, indirect, incidental, punitive, exemplary and consequential damages, damages for loss of use, data or profits, or other intangible losses, which may arise or are arising from the use of this Website or any of the information, software, services and related graphics contained within the Website, regardless of whether such damages are based on contract, tort, negligence, strict liability or otherwise, and even if Partnr has been advised of the possibility of damages.
 

Specifically Partnr shall not be responsible or liable for:
 

(a) any loss, liability or damage suffered or incurred arising out of or in connection with any access to or use of this website or any of its content;
 

(b) any reliance on, or decision made on the basis of, information or material shown on or omitted from this website;
 

(c) any representation or otherwise in respect of the existence or availability of any job, vacancy, assignment or other engagement or appointment advertised on this website;
 

(d) any representation or otherwise that any employer will ask for a candidate's information, ask to interview or hire a candidate, or that any candidates will be available or will meet the needs of any employer;
 

(e) any breach of these Terms by Partnr caused by circumstances beyond its reasonable control;
 

(f) any fault, delays, interruptions or lack of availability of this website and any of the services provided through this website, which may occur due to intermittent failures of this website or the need for repairs, maintenance or the introduction of new facilities or services;
 

(g) any representation that data provided through this website will be free of worms, viruses, Trojan horses or any other computer code that may adversely affect any communication;
 

(h) any information or material carried on any website operated by a third party which may be accessed from this website.


If any warranty cannot be excluded, to the maximum extent permitted by law, Partnr’s liability will be limited to resupply of the relevant service or the cost of resupplying the service at Partnr’s option. In any event, Partnr will not be responsible or liable for any indirect, consequential, incidental, exemplary, punitive or special damages, loss, liability or expense.
 

Governing Law and Jurisdiction


These Terms and all Service Orders shall be interpreted, construed and governed by the laws of India which shall be applicable to this Agreement without regard to principles of conflict of laws. User agrees that all claims, differences and disputes arising under or in connection with or in relation here to the Website or the relationship between User and Partnr shall be subject to the exclusive jurisdiction of the courts at Bangalore and Users hereby accede to and accept the jurisdiction of such courts.
 

No Waiver

 
Any failure, delay or forbearance on the part of Partnr in exercising or enforcing any right, power or privilege under these Terms, shall not operate as a waiver thereof, nor shall any single or partial exercise by Partnr of any right, power or privilege

preclude any other future exercise or enforcement thereof.


 

Disputes with other Users

 

Each User is individually responsible for interaction with other Users. In case of a dispute with another User or Partnr, the User’s sole remedy is to contact contact@partnr.network and Partnr shall be authorized to take appropriate action under these Terms. The User irrevocably and forever release Partnr (and Partnr's officers, directors, agents, subsidiaries, contractors, joint ventures and employees) from claims, demands and damages (actual and consequential) of every kind and nature, known and unknown, arising out of or in any way connected with such disputes.
 

 

Severability
 

The Parties hereto agree that each of the provisions contained in these Terms shall be severable, and the unenforceability of one or more provisions of these Terms shall not affect the enforceability of any other provision(s) or of the remainder of these Terms.
